You'll conduct exhaustive due diligence on prospective deals, flagging potential liabilities in financials and compliance landscapes. Collaborate with executive teams to devise strategies navigating state-specific regulations, including Texas Business Organizations Code nuances. Tackle litigation risks by negotiating settlements and representing in disputes over intellectual property or trade secrets. Champion compliance audits, updating policies to align with evolving federal securities laws and industry standards, all while managing a docket of 15-20 active matters weekly.
Candidates must hold a JD from an accredited institution, paired with 7+ years in corporate practice at a reputable firm or in-house. Active membership in the Texas Bar is non-negotiable, alongside proven expertise in securities filings via EDGAR and contract lifecycle management tools like DocuSign or ContractPodAi. Familiarity with Texas real estate transactions and energy sector regulations sets top applicants apart.
